These Terms of Use (“Terms”) govern access to and use of localBoost websites, applications and services (the “Services”). By creating an account or using the Services you agree to these Terms. If you are accepting on behalf of a company, you confirm you have authority to bind that company.
1. The Services
localBoost provides software tools for local business growth, which may include review campaigns, QR codes, landing pages, bookings, lead and feedback forms, AI-assisted content, reporting and related features. Features depend on your plan and configuration. We may improve, add or discontinue features with reasonable notice where practicable.
2. Accounts and eligibility
You must provide accurate registration details, keep credentials confidential, and ensure your team members comply with these Terms. You are responsible for activity under your account. Notify us promptly of unauthorised access.
3. Subscriptions, trials and billing
Paid plans renew according to the billing cycle shown at checkout unless cancelled. Trials convert to paid plans if you do not cancel before the trial ends, where that is clearly disclosed. Fees are in Australian dollars unless stated otherwise and exclude GST where GST is payable and itemised. Late or failed payments may result in suspension.
4. Australian Consumer Law (ACL) and NSW Fair Trading
Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy you may have under the Competition and Consumer Act 2010 (Cth) (including the Australian Consumer Law) or other laws that cannot be excluded. For NSW customers, NSW Fair Trading guidance on consumer guarantees and unfair contract terms may also apply to eligible small-business contracts. Where permitted, our liability for breach of a non-excludable guarantee is limited to resupplying the Services or paying the cost of resupply.
5. Acceptable use
You must not use the Services to:
- violate Australian law, including spam, privacy, intellectual property or misleading conduct laws;
- request, publish or manipulate reviews in ways that breach Google or other platform policies;
- upload unlawful, harmful, infringing or confidential information without rights;
- probe, overload or disrupt the Services or other customers;
- resell access except under an authorised partner or white-label arrangement.
6. Your content and customer data
You retain ownership of content and customer data you submit. You grant us a worldwide, non-exclusive licence to host, process and display that content solely to provide the Services. You represent you have the rights and notices required to process customer personal information through the Services. Our Privacy Policy explains how we handle personal information.
7. AI features
AI-generated suggestions may be inaccurate or incomplete. You are responsible for reviewing outputs before publishing or sending them to customers. Do not submit sensitive personal information to AI features unless necessary and lawful.
8. Intellectual property
The Services, software, branding and documentation are owned by localBoost or its licensors. Except for the limited rights granted in these Terms, no IP rights are transferred to you.
9. Third-party services
Integrations (such as Google services or payment processors) are subject to third-party terms. We are not responsible for third-party outages, policy changes or data handling outside our control.
10. Suspension and termination
You may cancel according to plan settings. We may suspend or terminate access for non-payment, misuse, legal risk or material breach. Upon termination, your right to use the Services stops. We may delete data after a reasonable retention period unless law requires longer retention.
11. Disclaimers and liability
To the maximum extent permitted by law (and subject to section 4), the Services are provided on an “as is” and “as available” basis. We do not guarantee uninterrupted availability, specific search rankings, review volumes or business outcomes. To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential or lost-profit damages. Our aggregate liability arising out of the Services is limited to the fees you paid to us for the Services in the 12 months before the claim.
12. Indemnity
You indemnify localBoost against claims arising from your content, your customer data, your campaign practices, or your breach of these Terms, except to the extent caused by our misconduct.
13. Governing law
These Terms are governed by the laws of New South Wales, Australia. Courts of NSW (and the Commonwealth of Australia as applicable) have jurisdiction, subject to any non-excludable consumer rights.
14. Changes
We may update these Terms by posting a revised version. Material changes will be notified by email or in-product notice where reasonable. Continued use after the effective date constitutes acceptance where permitted by law.
